1. Agreement to Terms

By accessing or using RoboQuant ("Service"), operated by FXC Algo Trade LLC ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service.

2. Description of Service

RoboQuant provides a cloud-based integrated development environment (IDE) for creating, testing, and managing trading algorithms. The Service includes AI-assisted coding, containerized development environments, and tools for Python, PineScript, and MQL5 development.

3. User Accounts

3.1 Account Creation. You must create an account to use the Service. You agree to provide accurate and complete information and to keep your account information updated.

3.2 Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.3 Account Termination. We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, abuse the Service, or for any other serious violation of our policies.

4. Intellectual Property and User Content

4.1 Your Code Ownership. You retain full ownership and all intellectual property rights to any code, trading strategies, algorithms, or other content you create using the Service.

4.2 License to Operate. You grant us a limited, non-exclusive license to host, store, and process your content solely to provide the Service to you.

4.3 Our Platform. The RoboQuant platform, including its software, design, and functionality, is owned by FXC Algo Trade LLC and is protected by copyright, trademark, and other intellectual property laws.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Use the Service to distribute malware, viruses, or harmful code
• Abuse, harass, or harm other users
• Scrape or extract data from the Service using automated means without permission
• Resell or redistribute the Service without authorization

6. Billing and Payment

6.1 Pricing. Certain features of the Service require payment. Current pricing is available on our website and may change with reasonable notice.

6.2 Payment Processing. All payments are processed securely through Stripe. We do not store your credit card information.

6.3 Refunds. Refunds are handled on a case-by-case basis. Contact info@roboquant.dev to request a refund.

6.4 Credits. AI assistant usage is metered through credits. Credits are non-transferable and expire according to your plan terms.

7. AI Services and Third-Party Integrations

7.1 AI Providers. The Service uses third-party AI providers (including Anthropic Claude and OpenAI) to power AI-assisted coding features. Your code may be sent to these providers to generate suggestions and assistance.

7.2 No Guarantees. AI-generated code is provided as-is. We do not guarantee the accuracy, completeness, or performance of AI-generated content. You are responsible for reviewing and testing all code before use.

8. Trading Disclaimer

8.1 Not Financial Advice. RoboQuant is a software development tool. Nothing provided through the Service constitutes financial, investment, trading, or legal advice.

8.2 Trading Risks. Trading financial instruments involves substantial risk of loss. You are solely responsible for any trading decisions and outcomes resulting from strategies created using the Service.

8.3 No Performance Guarantees. Past performance of any strategy is not indicative of future results. We make no guarantees about the profitability or performance of any trading algorithm.

9. Disclaimers and Limitation of Liability

9.1 Service Provided "As Is". The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

9.2 Limitation of Liability. To the maximum extent permitted by law, FXC Algo Trade LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or other intangible losses, resulting from your use of the Service.

9.3 Maximum Liability. Our total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Data Backup and Loss

While we implement backup procedures, you are responsible for maintaining your own backups of your code and data. We are not liable for any loss of data or content stored in the Service.

11. Modifications to Service and Terms

11.1 Service Changes. We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice.

11.2 Terms Changes. We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

12. Governing Law and Disputes

12.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

12.2 Dispute Resolution. Any disputes arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of such courts.
